These Terms of Service (“Terms”) govern your access to and use of the Rallie mobile application, websites, and related services (collectively, the “Service”) operated by Tamade Inc.(“Tamade”) (“Rallie,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
Rallie is a group coordination platform that helps people organize social plans such as meals, drinks, andactivities. Rallie includes an automated assistant (“Rallie Bear”) that participates in group conversations to help coordinate plans. Rallie Bear is software, not a human. It reads messages in conversations where it is present and generates replies and automated prompts. Rallie may also book, hold, modify, and cancel restaurant reservations on your behalf when you connect a reservation account. These features are described further in Sections 7A and 7B and in our Privacy Policy. The Service may also surface venue information and suggestions sourced from third-party services. We reserve the right to modify or discontinue features at any time.
You must be at least 18 years old, have the legal capacity to enter a binding agreement, and comply withthese Terms. Because the Service can create reservations that carry financial consequences (including cancellation charges and no-show fees), the Service is intended for adults. We do not knowingly permit anyone under 18 to create anaccount.
To use certain features, you must create an account.
Account registration may require:
- phone number
- one-time verification code
- optional profile information
You are responsible for:
- maintaining the confidentiality of your login credentials
- all activity conducted through your account
- ensuring information you provide is accurate
You must notify us immediately if you suspect unauthorized access.
Rallie may allow individuals to participate in plans without creating a full account.
Guests may:
- join plans via invite links
- submit availability
- vote on preferences
- confirm attendance
- view limited plan details
Guest access is restricted and may expire.
We reserve the right to require full account registration to continue using certain features.
You retain ownership of your content. By posting content you grant Rallie a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and modify (for formatting or technical purposes) your content solely for operating, maintaining, and providing the Service to you and other participants. We do not use the content of your conversations to train artificial-intelligence or machine-learning models, and, as described in our Privacy Policy, our AI provider does not use your content to train its models.
You agree not to:
- harass or abuse other users
- post illegal or harmful content
- impersonate others
- scrape or extract data from the platform
- interfere with the Service’s infrastructure
- distribute spam or unsolicited promotions
- reverse engineer or attempt to exploit the system
We may suspend or terminate accounts that violate these rules.
The Service may display information about venues sourced from third parties such as mapping or place databases. We do not guarantee accuracy, availability, operating hours, pricing, or reservation availability.
7A. AI Assistant & Automated Content
The assistant (“Rallie Bear”) is automated software, not a human. When it is present in a conversation, message content is processed by Rallie and by our AI and messaging providers (including Anthropic and our messaging partner) to coordinate plans and to generate responses and automated prompts (such as reminders, nudges, and “sidequests”). By using the assistant, or by participating in a conversation where it is present, you consent to this processing. Any participant may remove the assistant from a conversation or instruct it to stop. AI-generated output can be inaccurate or out of date — including hours, availability, prices, and reservation status — is provided “as is” for convenience, and is not a guarantee. Verify important details before relying on them.
7B. Reservations & Booking Authorization
When you connect a third-party reservation account (such as Resy or OpenTable), you authorize Rallie to act on your behalf — to search for, hold, book, modify, and cancel reservations — until you disconnect that account. Reservations are made with the venue and the reservation platform, not with Rallie. You are responsible for your reservations, including any cancellation windows, card-hold requirements, and no-show fees imposed by the venue or platform. We store only the credentials needed to maintain your connection, and we delete them when you disconnect. Third-party reservation platforms may restrict, discourage, or prohibit automated or assisted access to their services, and their terms may change. Using Rallie to search, hold, book, modify, or cancel reservations could result in the suspension, termination, or cancellation of your account or reservations on those platforms. You are responsible for reviewing and complying with each platform's terms. To the fullest extent permitted by law, Rallie is not liable for any action a reservation platform takes against your account, reservations, or standing, including suspension, termination, cancellation, or loss of access, arising from your use of this feature.
Rallie includes messaging features within groups and plans. Messages and media shared in these contexts are visible to members of the group, participants in the plan, and invited guests where applicable. Users are responsible for the content they send. We do not actively monitor messages but reserve the right to review content when necessary for safety or legal compliance
8A. Group Participants & Non-Users
Conversations may include people who do not have a Rallie account (for example, someone added by phone number). Their phone number and the message content they share in that conversation are processed to deliver the Service. If you add someone to a conversation, you represent that you are permitted to share their phone number and to include them. Non-users can be removed from a conversation at any time and may email privacy@rallie.us to request deletion of their information.
We send two categories of messages: (a) transactional messages (such as verification codes, invitations, confirmations, and reminders) and (b) service and engagement messages (such ascoordination prompts, nudges, and “sidequests”). Transactional and engagement messages may be delivered by SMS, by iMessage, or by push notification. Message frequency varies. Message and data rates may apply. To opt out, reply STOP to an SMS message or instruct the assistant to stop (“Rallie Bear, stop”); reply HELP for help. We honor opt-out requests as required by law. Opting out of non-essential engagement messages does not stop essential account and security messages. Consent to receive text messages is not a condition of purchase. See our Privacy Policy for how we handle your information.
Users may request deletion of their account.
Upon account deletion:
- profile data may be removed
- plans and group memberships may be anonymized
- some content (e.g., messages) may remain for integrity of conversation threads
We may retain limited information as required by law.
All rights to the Rallie platform—including:
- software
- design
- trademarks
- branding
- algorithms
belong to Rallie or its licensors.
You may not copy, distribute, or create derivative works from the Service.
The Service is provided “as is” without warranties of any kind.
We do not guarantee:
- uninterrupted service
- error-free operation
- availability of venues or reservations
Use of the Service is at your own risk.
To the maximum extent permitted by law, Rallie is not liable for:
- indirect damages
- lost profits
- loss of data
- personal injury
- disputes between users
Our total liability will not exceed $100 or the amount you paid for the Service, whichever is greater.
You agree to indemnify Rallie from claims arising from:
- your content
- your use of the Service
- violation of these Terms
Disputes will be resolved through binding arbitration in the State of California, unless prohibited by law.
You waive the right to participate in class-action lawsuits.
We may update these Terms periodically.
Material changes will be communicated through:
- in-app notifications
- email
- updates on the website
Continued use of the Service constitutes acceptance of the revised Terms.

This Privacy Policy explains how Rallie (“Rallie,” “we,” “us,” or “our”) collects, uses, discloses, and protects personal information when you use our mobile applications, websites, and related services (collectively, the “Service”). If you do not agree with this Privacy Policy, please do not use the Service.
A. Contacts Information
If you grant contact access on your device, we may access contact names and phone numbers so you can select people to invite. Contact information is processed locally on your device to support user-selected invites and group creation. We do not upload your entire address book in bulk for marketing purposes.
B. Location Information
If you permit location access, we may collect precise device location while you use certain features to improve place search results, suggest nearby venues, or support plan creation. We may also store the general “anchor” locations associated with your home, groups, and plans to bias venue search. We do not use background location tracking.
C. Message and Conversation Content
We collect and store the content of messages sent in Rallie conversations, including messages directed to or read by the Rallie Bear assistant, together with related media and metadata. This content is processed to operate the assistant and coordinate plans, as described in Section 3A.
D. Reservation Information
When you connect a reservation account, we store the credentials (tokens) needed to maintain that connection and reservation details such as party size, date, time, and venue. We delete connection tokens when you disconnect the account. We do not store full payment-card numbers.
E. Relationship Signals
If you choose to provide them, we collect optional relationship or “singles” signals associated with venue ratings and plan scores. You may decline to provide this information. Depending on your location, this may be treated as sensitive personal information, and we handle it accordingly.
F. Usage and Device Information
We may collect limited technical and usage information such as:
- device type
- operating system
- app/browser version
- IP address
- log data
- request metadata
- diagnostic and performance information
G. Messaging Information
If you use Rallie’s SMS-enabled features or receive text messages related to a Rallie plan, we may collect and maintain:
- your phone number
- message delivery status
- opt-in records
- opt-out records
- message history and related event metadata
We use personal information to:
- provide, operate, and maintain the Service
- create and manage user accounts
- authenticate users and deliver one-time passwords
- enable group creation, invitations, plan coordination, RSVPs, availability collection, reminders, and related communications
- send transactional and relationship messages, including invitations, confirmations, reminders, updates, and account-related notices
- provide venue search and plan-related recommendations
- personalize and improve the Service
- detect, investigate, and prevent fraud, abuse, security incidents, and unlawful activity
- comply with legal obligations and enforce our terms
Rallie may send SMS messages in connection with account verification and plan coordination features, including invitations, confirmations, reminders, and updates related to a specific plan or activity.
Message frequency varies. Message and data rates may apply. Reply STOP to opt out and HELP for help.
We do not use SMS for unsolicited marketing or promotional campaigns unless you separately and expressly consent to receive such messages.
No mobile information will be shared with third parties or affiliates for their own marketing or promotional purposes.
Text messaging originator opt-in data and consent will not be shared with any third parties, excluding aggregators and service providers that help us deliver SMS messages and operate the Service.
Even where we use vendors or service providers for messaging delivery, infrastructure, security, customer support, or analytics, they may use information only to provide services to us and not for their own marketing purposes.
A. Service Providers
We may share information with vendors and service providers that help us operate the Service. These currently include: Anthropic (AI assistant); our iMessage messaging partner, Linq (message delivery and chat bridging); Twilio (SMS delivery); Google (places andlocation); Resy and OpenTable (reservations); Amazon Web Services (cloud hosting and authentication); and providers of push notifications, network/proxy services, and security and fraud prevention. These parties are authorized to use information only as needed to provide services on our behalf.
B. Other Users and Guests
Information you submit in groups, plans, chats, and coordinated events may be visible to other participants, invitees, guests, or group members, depending on the feature and your activity.
C. Legal and Safety Reasons
We may disclose information if required to do so by law or if we believe disclosure is reasonably necessary to:
- comply with legal process
- protect rights, safety, and security
- investigate fraud, abuse, or policy violations
D. Business Transfers
If we are involved in a merger, acquisition, financing, reorganization, sale of assets, or similar transaction, information may be transferred as part of that transaction, subject to applicable law.
We retain personal information for as long as reasonably necessary to provide the Service, maintain records of plans and participation, comply with legal obligations, resolve disputes, and enforce agreements. Message and conversation content is retained while the associated group or plan exists; deleting a group or plan removes its associated content on our systems. Reservation connection tokens are deleted when you disconnect the reservation account. Non-users may request deletion of teir information by emailing privacy@rallie.us.
The Service is intended for adults and is not directed to children, and we do not knowingly collect personal information from anyone under 18. If we learn we have collected such information, we will take steps to delete it or, where applicable, obtain any consent required by law.
We use reasonable administrative, technical, and physical safeguards designed to protect personal information. However, no system can be guaranteed to be completely secure.
Depending on your location, you may have rights to:
- access personal information
- correct inaccurate information
- request deletion
- obtain a copy of certain information
- object to or restrict certain processing
You may also:
- revoke app permissions through your device settings
- opt out of SMS by replying STOP
- contact us with privacy requests using the contact information below
If you are a California resident, you may have rights under California law, including rights to know, access, correct, and delete certain personal information. Rallie does not sell personal information and does not share personal information for cross-context behavioral advertising as described above.
The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If we learn we have collected such information, we will take steps to delete it.
If you use the Service from outside the United States, you understand that your information may be transferred to and processed in the United States and other jurisdictions where our service providers operate.
We may update this Privacy Policy from time to time. If we make material changes, we will update the “Last Updated” date and take other steps as required by law.
